Telecom companies C1 Communications Inc. of Mississauga, ON and Wispra Networks, Inc. of Montreal (a venture of Wispra Inc., TD Capital Group and XO Communications, Inc.) are joining forces to create a full service voice, data and Internet communications company.

The combined company, which will operate under the name XO Communications Canada Inc., will use its broadband network assets to provide voice and data services throughout Canada. When the transaction is complete, the company expects to have more than 130 operational co-location facilities in 12 Canadian cities, metro fiber facilities in Montreal, and Nortel DMS 500 switches in Toronto and Vancouver. In addition, it will have access to XO Communications, Inc.’s North American inter-city fiber network and 400 MHz of fixed wireless spectrum in six Canadian cities.

XO Communications Canada also expects continuing construction or expansion of local fiber networks in Toronto, Ottawa, Vancouver, Calgary, Edmonton and Montreal.

C. William Stanley, chairman and CEO of C1, will become chairman of the new company. A.S. (Tony) Cassetta, currently C1’s president and COO, will become CEO and will be responsible for directing the company’s operations and 400+ employees.
