Commscope to acquire Andrew for US$2.6 billion

Commscope Inc. and Andrew Corp. today announced that the companies have entered into a definitive merger agreement.

The transaction, which is valued at approximately US$2.6 billion, will see Commscope pay US$15 per share. The purchase price represents a premium of 13% over Andrew’s average closing share price for the last 30 trading days

Based on CommScope’s and Andrew’s results for fiscal year 2006, on a pro forma basis, the combined companies would have had sales of approximately US$3.8 billion comprised of approximately 35% in wireless antenna and cable products; 29% in carrier and network solutions; 21% in enterprise products; and 15% in broadband/cable television solutions.

The combined company will have an estimated 16,000 employees.
